1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and EQ.app Community Inc. ("EQ.app," "we," "us," or "our") governing your access to and use of the EQ.app platform, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

EQ.app is a digital workforce platform designed for the staffing and recruiting industry. The Service enables users to configure, deploy, and supervise workers that assist with authorized workflows such as email processing, document handling, calendar management, business-system updates, and operational analysis.

Workers can use business systems that you choose to connect, subject to the permissions and review controls you configure.

3. Account Registration

To use certain features of the Service, you must create an account and provide accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited or unauthorized communications (spam)
• Upload or process content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to the Service, other accounts, or connected third-party systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to build a competing product or service
• Circumvent any rate limits, security measures, or access controls
• Misrepresent your identity or affiliation with any person or organization

5. Your Data

You retain all rights to the data you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

You are responsible for ensuring that you have the necessary rights and permissions to upload and process any data through the Service, including personal data of third parties (such as candidate resumes). You represent that your use of the Service complies with all applicable data protection laws.

Our collection and use of personal information is described in our Privacy Policy.

6. Connected Systems

The Service allows you to connect systems your organization uses, such as email, calendar, file storage, applicant tracking, CRM, payroll, and other business tools. By enabling a connection, you:

• Authorize the Service and your workers to interact with that system within the permissions you grant
• Acknowledge that your use of a connected system remains subject to its applicable terms and privacy policy
• Understand that we are not responsible for the availability, accuracy, or conduct of a system operated by another company

You may disconnect a connected system at any time from your workspace settings.

7. Worker Outputs

Workers use automated systems to generate outputs including parsed data, recommendations, reports, and proposed or completed actions. These outputs may contain errors or inaccuracies. You acknowledge that:

• Worker outputs should be reviewed before they are used for critical decisions
• We do not guarantee the accuracy, completeness, or suitability of automated content
• You are responsible for verifying outputs before relying on them or taking consequential action

8. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by EQ.app Community Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

You retain ownership of Your Data and any content you create using the Service.

9. Payment and Billing

Certain features of the Service may require payment. If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as expressly stated in a separate agreement.

We reserve the right to change our pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

10. Limitation of Liability

To the maximum extent permitted by applicable law, EQ.app Community Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify, defend, and hold harmless EQ.app Community Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data after a reasonable retention period
• Provisions that by their nature should survive termination will survive (including Sections 5, 8, 10, 11, 12, and 14)

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
