1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and EQ Community Inc. ("EQ," "we," "us," or "our") governing your access to and use of the EQ platform, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

EQ is an AI agent platform designed for the staffing and recruiting industry. The Service enables users to configure, deploy, and manage AI-powered agents that automate workflows such as email processing, resume parsing, calendar management, CRM operations, and document analysis.

The Service integrates with third-party platforms (including Google, Microsoft, Salesforce, and others) via OAuth and API connections that you authorize.

3. Account Registration

To use certain features of the Service, you must create an account and provide accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited or unauthorized communications (spam)
• Upload or process content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to the Service, other accounts, or connected third-party systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to build a competing product or service
• Circumvent any rate limits, security measures, or access controls
• Misrepresent your identity or affiliation with any person or organization

5. Your Data

You retain all rights to the data you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

You are responsible for ensuring that you have the necessary rights and permissions to upload and process any data through the Service, including personal data of third parties (such as candidate resumes). You represent that your use of the Service complies with all applicable data protection laws.

Our collection and use of personal information is described in our Privacy Policy.

6. Third-Party Integrations

The Service allows you to connect third-party accounts (such as Google, Microsoft, and Salesforce). By enabling these integrations, you:

• Authorize us to access and interact with those services on your behalf, within the scope of permissions you grant
• Acknowledge that your use of third-party services is subject to their respective terms of service and privacy policies
• Understand that we are not responsible for the availability, accuracy, or conduct of third-party services

You may disconnect any integration at any time from your workspace settings.

7. AI-Generated Outputs

The Service uses artificial intelligence to generate outputs including parsed data, recommendations, reports, and automated actions. While we strive for accuracy, AI outputs may contain errors or inaccuracies. You acknowledge that:

• AI-generated outputs should be reviewed before relying on them for critical decisions
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are responsible for verifying any AI-generated output before acting on it

8. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by EQ Community Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

You retain ownership of Your Data and any content you create using the Service.

9. Payment and Billing

Certain features of the Service may require payment. If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as expressly stated in a separate agreement.

We reserve the right to change our pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

10. Limitation of Liability

To the maximum extent permitted by applicable law, EQ Community Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify, defend, and hold harmless EQ Community Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data after a reasonable retention period
• Provisions that by their nature should survive termination will survive (including Sections 5, 8, 10, 11, 12, and 14)

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
